Project Summary
The Custom Design project will start with a design phase with my graphic design partner or I, to create a custom page design for your website. Based on your initial design preferences and input we will create mockups (pictures) of a how a sample page of your website will look, and based on your feedback we will refine/adjust the designs until we arrive at a final design you are happy with.
Once the design is finalized, I will start the programming to implement the design into the website framework. The website will utilize a standard set of built-in layouts, so the one sample page design is sufficient for me to implement your designs throughout the whole website. Once the site is programmed, you will be able to review the entire website and request minor adjustments as desired (though we cannot go back and make major design changes after the design has already been finalized and programming work begun).
While we are designing/building your website, you will have access to your admin control panel where you will add all your content to the website. In the admin you can set up your galleries, upload your photos, add your print options, etc.
I will also assist along the way to get your domain name connected (whether before or upon launch), to set up a business email account (if desired), and to handle any other technical steps necessary to get the site up and running.
In order to get started, you must agree to the following Terms & Conditions and send a deposit payment below.
Project Terms & Conditions
This is an Independent Contractor's Agreement ("Agreement") by and between you ("Client"), and WideRange Photo LLC, an independent contractor ("Contractor"), in consideration of the mutual promises made herein, as follows:
Article 1. Term Of Agreement
This Agreement will become effective on the date of initial payment and will continue in effect until the services provided for herein have been performed.
Article 2. Services to be Performed by Contractor
2.1. Specific Services. Contractor agrees to perform the following services: Design and create a photo gallery website. Website features will include the following:
- Homepage, Galleries pages, Photo pages, Print-Ordering pages, About page, News page, Contact page, Shopping Cart page, Photo Search results pages.
- Password protected Admin control program to upload and add/modify/delete website content including photos, galleries, news, print and product pricing and options, links, other pages and more.
- Shopping cart hooked up to PayPal and/or Stripe payment processing.
- Custom design, utilizing existing standard “Custom Template” layouts. No design changes may be made by Client after the design has been finalized and programming has begun.
- PHP/HTML search-engine compatible site.
- Uploading of photos and content to be done by Client.
- Setup of server hosting and email address.
2.2. Method of Performing Services. Contractor will determine the method, details, and means of performing the above-described services.
2.3. Scope of design customization. Custom design creation applies only to the visual graphic-design elements of the website including: background color, background imagery (if any), site title graphic, font selection, text sizing, text colors, link colors, and image borders/shadows (if any). Client understands and agrees that page layouts and website features and functionalities are built into the website template software and cannot be customized or developed beyond the options currently provided by the software.
Article 3. Compensation
3.1. Flat Rate. In consideration for the services to be performed by Contractor, Client agrees to pay to Contractor the sum of four thousand eight hundred dollars. ($4,500.00 USD).
3.2. Date for Payment of Compensation. For services rendered under this Agreement, Client agrees to pay Contractor an initial, non-refundable deposit of $2,250.00 USD upon execution of this Agreement. Final payment plus first year website hosting fee is due upon publication of the completed website, or within 6 months of Agreement date, whichever is sooner.
Client may opt to pay as a non-refundable deposit the full project price of $4,500.00 USD upon execution of this Agreement, in which case the first year website hosting fee will be waived.
3.3. Maintenance and Changes. After completion of website according to the services described in Article 2.1, any additional changes, additions, or maintenance will be billed out on an hourly basis, unless a new flat-rate fee is negotiated for the additional changes, additions, or maintenance.
3.4. Employment of Assistants. Contractor may, at Contractor's own expense, employ such assistants as Contractor deems necessary to perform the services required of Contractor by this Agreement. Client may not control, direct, or supervise Contractor’s assistants or employees in the performance of those services.
3.5. Website Server Hosting. Server hosting is provided at $360/year. Hosting includes up to 4gb storage space and 200gb/month bandwidth. Client understands and agrees that the way the website is coded necessitates hosting on Contractor’s server.
Article 4. Obligations of Client
4.1. Determining Suitability of Website Software and Services. Client understands and agrees that it is the Client's responsibility prior to acceptance of this Agreement to determine if the Contractor's website software features, functionalities, and services sufficiently meet Client's needs and requirements.
4.2. Content Addition. Client understands and agrees that is Client's responsibility to add and manage all their own website content (photos, galleries, text, products, pricing, etc.) through the provided administration control panel, and that the Contractor is not responsible for content addition or management.
4.3. Cooperation of Client. Client agrees to comply with all reasonable requests of Contractor [and to provide access to all documents reasonably] necessary to the performance of Contractor's duties under this Agreement.
4.4. Design Credit. Client agrees that the Contractor may include a byline on the bottom of their web pages establishing design and development credit, including a link to Contractor's web development portfolio website. Client also agrees that the website created for the Client may be included in the Contractor's portfolio website.
Article 5. Copyright
5.1. Gallery Program Copyright. Client understands that all the database and code of the website and control panel is copyrighted by Contractor. Client agrees to not copy, distribute, or share any of the code without consent of the Contractor.
5.2. Content Copyright: Contractor understands that all content uploaded to and/or entered on the website by the Client is copyrighted by the Client.
Article 6. General Provisions
6.3. User Agreement. Usage of the website software and admin control panel constitutes acceptance of the User Agreement (listed at https://www.widerangegalleries.com/page/eula/ ).
6.2. Partial Invalidity. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force without being impaired or invalidated in any way.
6.3. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.
